<p><strong>Location: </strong>Hybrid - World Square, CBD and WFH<br><strong>Commencement Date:</strong> Start by negotiation<br><strong>Closing Date: </strong>Monday, 28 October 2024<br><strong>Capacity:</strong> Part-time (5 days per fortnight), 3-year contract<br>&nbsp;</p><p><strong>About the Role</strong></p><p>The Company Secretary is appointed by the Director: Governance and Legal and Sydney Catholic Schools' (SCS) Board Chair (the Chair) and is responsible to the Chair of the Board, providing independent, robust and objective governance advice to the Directors, the Executive Director and the Director: Governance and Legal.<br><br>The duties of the Company Secretary are first and foremost to ensure that the Company's statutory responsibilities are fulfilled and that the Constitution and Trust Deed are adhered to, as well as implement good governance practices in the performance of the role, particularly in providing secretariat support to the SCS Board (the Board), Subcommittees and other key strategic Committees required by the Board, including Charitable Foundations.&nbsp;<br><br>Responsibilities include, but are not limited to:</p><ul><li>managing the smooth flow and function of Board and Committee meetings</li><li>effectively communicating and providing support to the Executive Director (i.e. CEO), SCS Executive Team and Committee Secretariats in communication outcomes of Board/Committee decisions and strategies</li><li>ensuring the timely dissemination of meeting outcomes and gives effect to the relevant decisions and directions of the Board for which the Secretary is responsible</li><li>maintaining the Board knowledge bases include the company records, registers, minutes of meetings and resolutions</li><li>coordinating Board and Committee member induction and professional learning</li><li>keeping accurate records of personal/role related information and compliance data for Company Members, Directors, Company Secretary, Executive Director and any other relevant SCS leadership position to ensure all satisfy their professional obligations</li><li>ensuring that SCS complies with its constitution, trust deed, governance framework, Australian Charities and Not-for-profits Commission (ACNC) requirements, and statutory/compliance obligations</li><li>liaising with the appropriate SCS Executives in relation to the submission to the ACNC of the Annual Information Statement and appointment of Auditors, and with reference to Directors' and Officers insurance</li><li>contributing to the development and maintenance of board governance instruments such as: statutory registers, delegation of authorities, Board and Committee policies, including Code of Conduct and Dispute Resolution Policy</li><li>assisting with the development of documentation required for the effective management and operation of Board Committees</li><li>being contactable and available out of work hours to respond to urgent matters (in most cases, any work required can be performed from home/remotely)</li><li>any other duties as directed from time to time.</li></ul><p><strong>About You</strong></p><p>The successful candidate will possess the following:</p><ul><li>a tertiary qualification in law, business, corporate governance or related discipline</li><li>extensive experience in a legal, business, governance, or public service environment</li><li>demonstrated success in a governance, compliance or similar corporate secretarial role</li><li>a deep understanding of contemporary corporate governance practices and standards</li><li>experience in the education sector highly regarded</li><li>a deep working knowledge of legislation relevant to the role and sector</li><li>highly developed skills and strengths in organising, multitasking and prioritising</li><li>strong communication, relationship and networking skills</li><li>a positive and strong work ethic with the capacity to meet tight deadlines</li><li>a current driver's licence with access to a car in order to travel to offsite meetings.</li></ul><p><strong>Desirable</strong></p><ul><li>experience working in an education, not-for-profit or public sector organisation</li><li>familiarity with the Catholic Archdiocese of Sydney</li><li>knowledge of Catholic Systemic Schools/Systems</li><li>is a practising Catholic with demonstrated evidence of ongoing commitment to the teachings of the Catholic Church and engagement in the life of a Catholic faith community, such as a parish or an established community within the Catholic Church, as an expression of their relationship with Jesus Christ.</li></ul><p><strong>Why Work for Sydney Catholic Schools</strong><br><br>In joining SCS, you will be part of the largest Catholic education community in NSW.
